Board Evaluations

Edis-Bates Associates has been carrying out board performance evaluations since 2004. And Jon Edis-Bates has been working with boards of listed UK PLCs since 1985. Our clients include UK companies in the FTSE 100, the FTSE 250 and smaller companies. A significant number of our clients have asked us back to conduct subsequent reviews. Whilst most of our work in this area involves facilitating an external review, we also support companies when they carry out their own internal reviews.

Our firm’s approach to board evaluations:

  • Rigorous and independent, yet definitely user-friendly.
  • We believe in tailoring an evaluation process to the company’s needs.
  • We like to talk to evaluation participants – we don’t ask them to complete questionnaires.
  • Our role is to aid the chairman in assessing his board.
  • We try to help the board function better and look for practical and workable improvements.

Typically, our review process will include:

  • A planning stage, setting the scope, ground rules, timing etc.
  • A review of board and committee papers, minutes and processes.
  • Preparing a set of statements for comment by participants (we record the responses).
  • Private one-to-one meetings with each director and the company secretary. Sometimes we also have less formal discussions with other key players.
  • Occasionally we observe a board meeting.
  • An analysis of our findings, showing visually clear outcomes.
  • The preparation of a main report, covering the board and its key committees, for discussion with the chairman and subsequent circulation to the full board.
  • The preparation of confidential individual reports on each participant, having restricted circulation.
  • Further work on any areas warranting further review.
  • Presenting our findings (including a list of recommended actions) to a board meeting.

We also carry out other forms of review, including:

  • Reviews of company secretariats, including benchmarking current practice, assessing individual performance and resource needs.
  • Independent external reviews involving governance issues.
  • Corporate governance compliance and best practice reviews.
